Good contracts prevent most disputes. Al-Amthal drafts and reviews commercial contracts, and writes legal opinions and studies that boards and management can rely on when they decide. Since 1998 the firm has also prepared consultations and legal studies for clients in Kuwait, Bahrain, Saudi Arabia, the UAE, Lebanon and Morocco.
Commercial contracts that hold up
We draft and review supply, distribution, agency, services, joint venture, consultancy and licensing agreements. Our aim is a contract both sides understand, which says clearly who does what, by when, for how much, and what happens if something goes wrong. We write in Arabic or English, or in both, with a clause on which version prevails.
We pay particular attention to the clauses that decide disputes later: governing law, courts or arbitration, notices, termination, limits of liability and penalty clauses. Commercial agency and distribution in Egypt have their own registration and termination rules, which we check for every foreign principal.
Legal opinions and studies for boards and management
Boards often need a written answer before they act. Can the company take this step, what are the risks, and which approvals are needed? We prepare legal opinions that answer the question asked, cite the applicable rules, and state their assumptions plainly. Where the law is unsettled, we say so and explain how the courts have approached the question.
For larger questions we prepare full legal studies, for example on a restructuring, a regulatory change or a dispute strategy. This approach draws on the founder's postgraduate diplomas in international trade law and private law from Ain Shams University. Opinions and studies can be written in Arabic, English or German.
Consultations and legal studies in Kuwait, the UAE and the Gulf
Since 1998 the firm has regularly given consultations and legal studies in Kuwait, Bahrain, Saudi Arabia, the UAE, Lebanon and Morocco, and today it has offices in Kuwait and Dubai. In the Gulf our work is advisory. We draft and review contracts, give written opinions and prepare studies for management, and work alongside local counsel where a court or registry step is needed. Meetings in Cairo, Kuwait or Dubai are by appointment. We also review contracts already signed when a problem appears, to set out each side's rights before any step is taken.

Questions clients ask
What is the difference between a legal opinion and a legal study?
A legal opinion answers a specific question, such as whether a contract term is enforceable, usually in a few pages. A legal study examines a wider subject in depth, such as the legal options for a restructuring, and sets out the rules, the risks and a recommendation. Both are written and signed by the firm.
Should I have a lawyer review a contract before signing?
Yes, especially for long-term, high-value or cross-border agreements. A review finds unclear obligations, one-sided termination rights and the clauses that decide where and how disputes are heard. It costs far less than a dispute. We mark up the draft and explain each change in plain words.
Do you prepare legal studies for companies in Kuwait and the UAE?
Yes. Since 1998 the firm has prepared consultations and legal studies for clients in Kuwait, the UAE and other Arab countries, and it has offices in Kuwait and Dubai. Our work there is advisory. Where a court or registry step is needed locally, it is carried out by a lawyer licensed in that country.
